Definition of the contract's purpose
OuzTechnology provides, via its showcase site www.ovalo.app and its SaaS platform my.ovalo.app, the Ovalo software solution designed to help professionals manage their business.
These Terms of Use define the conditions of access and use of the my.ovalo.app Platform and associated Services, as well as the mutual obligations between OuzTechnology and Users.
They are accessible and printable at any time from my.ovalo.app.

Terms used in the Terms of Use
Subscription: contract entered into by the Client to access Ovalo Services via my.ovalo.app.
Administrator: User designated by the Client to manage the Account and assign access rights.
Application / Platform: Ovalo solution, accessible via my.ovalo.app.
Terms of Use: these Terms and Conditions of Use.
Client: any company or professional who has subscribed to a Subscription.
Account: space assigned to a Client and its Users.
Parties: OuzTechnology and the User.
Services: features offered by Ovalo (sales, purchases, stock, cash management, etc.).
User: natural person authorized to use the Platform.
Showcase: ovalo.app site, intended only for product presentation.
User consent
Use of the Platform constitutes full acceptance of these Terms of Use.
When registering, the User checks the box 'I have read and accept the Terms of Use', which constitutes an electronic signature.
Modules and features
Ovalo is intended exclusively for professionals.
Modules offered: Sales (quotes, invoices, payment tracking), Purchases (supplier invoices, expense reports), Stock (tracking entries, exits, inventory), Cash Management (cash flow tracking, bank reconciliation).
Other modules may be added by OuzTechnology.
Platform access
Ovalo is accessible via my.ovalo.app from any compatible device.
Access requires an internet connection at the User's expense.
Registration and validation
Registration required with accurate information.
Account creation validated by email.
A Client may only have one Account.
A free 7-day trial period may be offered before subscription.
Access and modification of services
Access to Services is limited according to the Subscription.
OuzTechnology may modify, supplement, or remove certain features, after notification.
User account management
The Account is reserved for the Client and its authorized Users.
The Administrator manages access.
Any fraudulent use results in suspension or deletion of the Account.
Use outside Morocco
The Platform may be used outside Morocco, under the sole responsibility of the User, who must comply with local legislation.
Free trial and subscriptions
Free trial (7 days).
Paid subscriptions monthly or yearly.
Prices may be revised with 30 days' notice.
User commitments
Provide accurate information.
Do not use Ovalo for fraudulent purposes.
Comply with applicable law.
Limitation of liability
Obligation of means, not of result.
Targeted availability: 24/7 except maintenance.
Limitation: no liability for data loss, loss of profit, business interruption.
Rights and licenses
All rights reserved to OuzTechnology.
Non-exclusive, non-transferable license to use.
Prohibition to copy, distribute, decompile, or misuse the software.
Data protection
Collection in accordance with Moroccan law n°09-08.
Secure hosting on approved servers.
Privacy policy accessible from my.ovalo.app.
Security measures
Technical and organizational measures implemented to protect data.
Data processing
No sale, rental, or sharing of data without consent or legal obligation.
Responsibility for links
OuzTechnology is not responsible for content or transactions via third-party sites accessible from Ovalo.
Duration and termination of the contract
The Terms of Use take effect upon registration and remain in force during use.
Suspension or termination possible in case of non-compliance with the Terms of Use.
Cases of force majeure
No liability in the event of unforeseeable and irresistible events.
Modification of the Terms of Use
The Terms of Use may be modified by OuzTechnology; continued use constitutes acceptance.
Validity of clauses
If a clause is void, the others remain applicable.
Contract language
The French version prevails over any translation.
Application of clauses
Non-application of a clause at a given time does not constitute a waiver.
Law and competent jurisdiction
These Terms of Use are governed by Moroccan law.
Any dispute falls under the exclusive jurisdiction of the Commercial Court of Marrakech.
Cancellation procedure
Cancellation possible via the client area.
Takes effect at the end of the current period.
No refund for the started period.
Withdrawal conditions
Not applicable to digital services provided immediately.
Exception: withdrawal possible within 14 days if the account has not been activated.
Payment terms
Billing in advance (monthly or yearly).
Payment by credit card or bank transfer.
Transactions secured by approved providers.
Late payment → access suspended until regularization.
